Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Transactional platform, APIs, and related services (collectively, the "Services") provided by Loopclub Ltd. ("Company," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

Transactional provides a developer communication platform that includes:

  • Email Services: Transactional email API with SMTP relay, templates, and delivery analytics
  • Support: Live chat widget and customer support inbox
  • SMS: Global SMS messaging with delivery tracking
  • Forms: Form builder with API access and webhooks
  • Calendar: Scheduling infrastructure for appointments
  • Authentication: User authentication and identity management

We reserve the right to modify, suspend, or discontinue any part of the Services at any time with reasonable notice.

3. Account Registration

3.1 Account Requirements

To use our Services, you must create an account and provide accurate, complete, and current registration information. You must be at least 18 years old or the age of majority in your jurisdiction.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including API keys. You must immediately notify us of any unauthorized access to or use of your account. We are not liable for any loss arising from unauthorized use of your account.

3.3 Account Types

We offer different account types with varying features and limits. Details of each plan are available on our pricing page and are incorporated into these Terms by reference.

4. Acceptable Use Policy

You agree to use our Services only for lawful purposes. You must not:

  • Send unsolicited bulk email (spam), phishing emails, or messages that violate applicable anti-spam laws including CAN-SPAM, GDPR, and CASL
  • Send emails to purchased, rented, or harvested email lists
  • Transmit content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Distribute malware, viruses, or any code designed to harm systems or data
  • Impersonate any person or entity, or falsely represent your affiliation
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the integrity or performance of our Services
  • Use the Services for any illegal activity or to violate any laws
  • Resell, redistribute, or sublicense the Services without authorization

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice.

5. Email Sending Requirements

5.1 Consent

You must have valid consent or a legitimate business relationship with recipients before sending emails through our platform. You are solely responsible for compliance with applicable laws.

5.2 Sender Requirements

All emails must include accurate sender information, a valid physical postal address, and a working unsubscribe mechanism for commercial emails.

5.3 Domain Authentication

You must properly authenticate sending domains with SPF, DKIM, and DMARC records as instructed in our documentation.

6. Payment Terms

6.1 Fees

You agree to pay all fees associated with your selected plan. Fees are charged in advance on a monthly or annual basis as specified in your plan. All fees are stated in US Dollars unless otherwise indicated.

6.2 Billing

We use third-party payment processors to handle billing. By providing payment information, you authorize us to charge your payment method for all fees incurred.

6.3 Overages

If you exceed your plan limits, you may be charged overage fees as specified in your plan details, or your account may be rate-limited until the next billing cycle.

6.4 Refunds

Fees are non-refundable except as required by law or as explicitly stated in these Terms. Annual plans may be eligible for pro-rata refunds within the first 30 days.

6.5 Price Changes

We may change our pricing with 30 days' notice. For annual subscriptions, price changes will take effect at the next renewal date.

7. Intellectual Property

7.1 Our Rights

The Services, including all content, features, and functionality, are owned by Loopclub Ltd. and are protected by copyright, trademark, and other intellectual property laws. Our name, logo, and product names are our trademarks.

7.2 Your Content

You retain ownership of all content you submit through our Services. By using our Services, you grant us a limited license to process, store, and transmit your content as necessary to provide the Services.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about our Services may be used by us without any obligation to you.

8. Data Processing

When you use our Services to send communications, you act as the Data Controller and we act as the Data Processor. Our processing of personal data is governed by our Data Processing Agreement, which is incorporated into these Terms.

9. Service Level Agreement

We strive to maintain 99.9% uptime for our Services. Service credits may be available for extended outages as specified in our Service Level Agreement, available upon request for qualifying plans.

10. Termination

10.1 By You

You may cancel your account at any time through the dashboard or by contacting support. Upon cancellation, you will have access until the end of your current billing period.

10.2 By Us

We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited activities, or fail to pay fees. We may also terminate accounts with 30 days' notice for any reason.

10.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We will retain your data for 30 days, after which it will be deleted unless legally required to retain it.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOPCLUB LTD. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless Loopclub Ltd. and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of the Services, your content, or your violation of these Terms.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be resolved in the courts of England and Wales, except that we may seek injunctive relief in any jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services at least 30 days before they take effect. Your continued use of the Services after changes become effective constitutes acceptance of the new Terms.

16. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Loopclub Ltd.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights without restriction.
